Terms of service

Agreement and covered Services

These terms are an agreement between you and p10node LLC, a technology company registered in Vietnam. They govern your access to and use of our websites, applications, APIs and online services under the domains below, including their subdomains (together, the "Services"). By using a Service, creating an account or clicking to accept, you agree to these terms.

If you use a Service for an organisation, you confirm that you can bind that organisation. Product-specific terms, an order form or a signed statement of work may supplement these terms. If they conflict, the signed or product-specific terms control for that Service.

Eligibility and accounts

You must be legally able to enter this agreement and meet any minimum age displayed by the Service. Information you provide must be accurate. You are responsible for your credentials, API keys, connected accounts and all activity under your account. Tell us promptly at [email protected] if you suspect unauthorised use.

Using the Services

We grant you a limited, non-exclusive, non-transferable and revocable right to use the Services in accordance with these terms, the applicable documentation and your plan. Features and limits vary by Service. You are responsible for evaluating results before relying on them and for maintaining appropriate backups of information you submit.

When you connect Google or another third-party service, you authorise us to access the data and perform the actions described on the consent screen. Your use of that third-party service remains subject to its terms, and you may disconnect it at any time.

Acceptable use

  • Do not break the law, infringe rights or use the Services to harm, deceive, harass or exploit anyone
  • Do not upload malware, probe or bypass security, disrupt a Service, or gain unauthorised access
  • Do not scrape, reverse engineer or circumvent usage, access or rate limits except where law permits
  • Do not use the Services for spam, credential theft, surveillance, high-risk decisions without qualified human review, or content that is unlawful or violates another person's rights
  • Do not share, resell or make an account or API key available to others unless your plan allows it
  • Do not use the Services where sanctions or export-control law forbids it, or on behalf of a sanctioned party

You remain responsible for your users and for ensuring that your use, inputs and instructions are lawful.

Your content and data

You retain ownership of information and content you submit to a Service ("Your Content"). You grant us a worldwide, non-exclusive licence to host, copy, process, transmit and display Your Content only as needed to provide, secure and support the Service, comply with law, or follow your instructions. You represent that you have the rights and permissions needed for us to do so. Our privacy policy explains how we handle personal data.

We do not use Your Content or connected-account data to train general-purpose AI models unless we ask separately and you give explicit consent. You are responsible for exporting Your Content before closing an account when the Service provides an export function.

Publishing, listings and takedown requests

Some Services publish what you post - listings, profiles, documents and comments. You are responsible for that content: it must be accurate, lawful, yours to publish, and free of personal data you have no right to share. We do not pre-screen it and we are not its author.

If content on a Service infringes your copyright or trade mark, defames you, discloses your personal data or otherwise breaks the law, write to [email protected] with the URL, what is wrong, the right you hold and a way to reach you. We review every notice, remove or restrict content that clearly breaches these terms or the law, and tell the person who posted it. They may reply with a counter-notice, which we will pass on to you; a dispute we cannot resolve is one for a competent court or authority.

We may remove content, refuse a listing or close an account without notice where content is unlawful or creates a safety, security or legal risk, and we terminate the accounts of repeat infringers.

Our technology and feedback

We and our licensors retain all rights in the Services, software, designs, documentation, brands, models and pre-existing tools. These terms do not transfer those rights to you. If you give us feedback, we may use it without restriction or payment, but we will not identify you publicly without permission.

For consulting engagements, ownership of deliverables is governed by the applicable statement of work. Unless it says otherwise, you own custom deliverables from the first commit, in your repositories and cloud accounts; we retain our pre-existing tools and grant you a perpetual licence to use them as incorporated in the deliverables.

Fees, renewals and taxes

Prices, usage allowances, billing periods and any renewal terms are shown when you order or in a signed agreement. You authorise us and our payment provider to charge the selected payment method. Fees are exclusive of applicable taxes unless stated otherwise. Except where law or the applicable Service's refund terms require otherwise, fees already paid are non-refundable. We will give notice before a material price change applies to a renewing paid plan.

Domain registration and reseller services

Where a Service registers or transfers a domain name for you, we act as a reseller for an accredited registrar. Your registration is additionally governed by that registrar's agreement, the policies of the relevant registry, ICANN policy for generic top-level domains and the rules of the Vietnam Internet Network Information Centre for .vn names - including dispute resolution, WHOIS or RDDS publication and the transfer and deletion cycles.

You are responsible for the accuracy of registrant contact details and for renewing on time. Registration, renewal and transfer fees are non-refundable once submitted to the registry, a registry may change its prices, and a name that reaches expiry may be suspended, redeemed at a fee or released. We do not guarantee that a requested name is available or that it may lawfully be used.

Third-party services and links

A Service may interoperate with or link to third-party products, data or websites. We do not control them and are not responsible for their availability, accuracy or practices. Your use of them is governed by their own terms. Open-source components remain subject to their licences.

Informational and AI-assisted results

Forecasts, generated content, educational material, legal information, listings and other results may be incomplete, outdated or incorrect. They are provided for general information and are not legal, financial, medical, real-estate or other professional advice. AI-assisted outputs may not be unique. Verify important results and obtain qualified advice before making decisions with legal, financial, safety or other significant effects.

Availability, changes and beta features

We aim to keep the Services useful and available, but do not promise uninterrupted or error-free operation unless a signed service-level agreement says otherwise. We may change, limit or discontinue features and will give reasonable notice when a material change adversely affects a paid Service. Beta or preview features may change or stop at any time and are provided without a service-level commitment.

Suspension and termination

You may stop using a Service at any time and may close your account through the Service or by contacting us. We may suspend or terminate access when you materially breach these terms, create security or legal risk, fail to pay, or when required by law. Where practical, we will give notice and an opportunity to remedy the issue. Provisions that by their nature should survive termination will survive.

Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing in these terms limits rights that cannot lawfully be limited, including applicable consumer rights.

Liability

Nothing excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence, or liability that cannot be excluded by law. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive loss, or loss of profits, revenue, data or goodwill. Our total liability arising from a Service will not exceed the greater of the amount you paid for that Service during the twelve months before the event giving rise to the claim or USD 100. A signed agreement may set a different limit.

Indemnity

You will defend and indemnify us against third-party claims, and the reasonable costs and damages awarded or agreed in settlement, that arise from Your Content, from your use of a Service in breach of these terms or the law, or from your infringement of another person's rights. This does not apply to a claim caused by our own breach, negligence or wilful misconduct, and it does not apply where you use a Service as a consumer for purposes outside a trade or profession. We will tell you about a claim promptly, let you control the defence of it and give you reasonable assistance at your expense; you may not settle a claim in a way that admits our fault or binds us without our consent.

Force majeure

Neither party is liable for a delay or failure caused by an event beyond its reasonable control, including natural disaster, war, civil unrest, epidemic, strike, failure of a public network, power or upstream cloud provider, or an act of a government or regulator. The affected party will tell the other as soon as it reasonably can and do what it reasonably can to limit the effect. Payment obligations already accrued are not excused.

Governing law

These terms are governed by the laws of Vietnam, without regard to conflict-of-law rules. The courts of Hanoi, Vietnam have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any competent court. Mandatory consumer protections in your country remain unaffected.

General

These terms, together with any product-specific terms, order form or signed statement of work, are the entire agreement about the Services and replace earlier discussions on the same subject. If a provision is held unenforceable, the rest stays in force and the provision is applied as far as the law allows. Not enforcing a right is not a waiver of it.

You may not assign this agreement without our written consent. We may assign it to an affiliate, or as part of a merger, financing or sale of the business, provided the assignee assumes our obligations. Nothing here gives rights to anyone other than you and us.

We give notice by email to the address on your account or by posting in the Service; you give notice to [email protected]. Notice is effective when sent. Nothing in these terms makes either party the other's agent, partner or employer.

These terms are written in English. If we publish a translation and it differs, the English version controls, except where the law of your country requires otherwise.

Changes and contact

We may update these terms to reflect changes to the Services or law. We will post the revised terms with a new date and give reasonable additional notice of material changes. Continued use after the effective date means you accept the updated terms; if you do not agree, stop using the Services.
